These Terms of Service govern access to and use of the Medent LLC website, products, quotations, invoices, purchase orders, checkout, customer support, and related services. By using our website, requesting a quote, placing an order, submitting a purchase order, or communicating with Medent LLC, you agree to these Terms and all
policies referenced in them.

1. Company Role
Medent LLC sells and supplies medical, dental, laboratory, scientific, healthcare, and related products. Unless expressly stated in writing, Medent LLC is not the manufacturer of the products sold. Product information, specifications, images, compatibility details, safety documents, manuals, and warranty information may be provided by manufacturers or suppliers.

2. Professional and Commercial Use
Many products sold by Medent LLC are intended for professional, commercial, dental, medical, laboratory, healthcare, institutional, or technical use. By purchasing, you represent that you are legally permitted, qualified, and authorized to purchase, receive, import, install, operate, and use the products ordered.

Medent LLC does not provide medical, dental, clinical, engineering, legal, regulatory, safety, or professional advice. Customers must consult qualified professionals and manufacturer documentation before purchasing or using any product.

3. Product Information and Customer Responsibility
We work to provide accurate product information, but errors, omissions, outdated information, image differences, specification changes, typographical errors, stock changes, and manufacturer updates may occur. Customers are responsible for confirming final product specifications, compatibility, intended use, voltage, dimensions, options, accessories, regulatory status, and suitability before purchase.

4. Orders, Acceptance, and Availability
All orders are subject to acceptance by Medent LLC. Receipt of an order confirmation, quote, invoice, or payment does not guarantee acceptance, availability, shipment, or delivery. Medent LLC may refuse, cancel, limit, hold, or modify any order for reasons including:

  • Pricing, description, image, specification, or listing errors.
  • Product unavailability, supplier delay, backorder, discontinuation, allocation, or manufacturer restriction.

5. Pricing and Quotations
Prices, discounts, availability, lead times, taxes, shipping charges, and product information are subject to change without notice unless expressly stated in a written quote. A quote may expire according to its stated validity period or, if no period is stated, at Medent LLC's discretion.

6. Payment
Customers authorize Medent LLC and its payment processors to charge the selected payment method for the order amount, including applicable products, taxes, shipping, freight, insurance, handling, and other approved charges. Orders may be held until payment is verified and cleared.

7. Taxes, Duties, and Import Fees
Customers are responsible for applicable sales tax, use tax, VAT, duties, customs charges, brokerage fees, import fees, permits, regulatory approvals, and destination-country requirements unless otherwise stated in writing.

8. Shipping and Risk of Loss
Shipping and delivery matters are governed by Medent LLC's Shipping Policy. Unless otherwise required by law or agreed in writing, title and risk of loss pass to the customer when the product is tendered to the carrier. Delivery dates and lead times are estimates only and are not guaranteed.

9. Returns and Refunds
Returns, refunds, exchanges, cancellation requests, restocking fees, damage claims, and refused shipments are governed by Medent LLC's Return and Refund Policy.

10. Manufacturer Warranties
Manufacturer warranties, if any, are provided by the manufacturer and not by Medent LLC unless expressly stated in writing. Medent LLC does not guarantee manufacturer warranty approval, warranty duration, repair outcome, replacement approval, service availability, or response time. Customers must follow manufacturer instructions, safety
guidelines, installation requirements, and warranty procedures.

11. Compliance and Export Controls
Customers are responsible for complying with all applicable laws, regulations, licensing requirements, import/export controls, sanctions, professional-use rules, safety requirements, and destination-country obligations. Customers agree not to purchase, export, re-export, transfer, install, or use products in violation of applicable law.

12. Website Use
You agree not to use the website or services for unlawful, fraudulent, abusive, or unauthorized purposes. You may not scrape, crawl, data-mine, interfere with, disrupt, hack, reverse engineer, introduce malware, bypass security, or attempt unauthorized access to the website, systems, accounts, or data.

To the maximum extent permitted by law, Medent LLC will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including lost profits, project delays, labor costs, downtime, substitute product costs, installation delays, clinical downtime, business interruption, or loss of data.

Medent LLC's total liability for any claim will not exceed the amount paid by the customer for the specific product or service giving rise to the claim, except where prohibited by law.

17. Force Majeure
Medent LLC will not be responsible for delays or failures caused by events outside its reasonable control, including supplier delays, manufacturer delays, carrier delays, customs holds, labor disputes, accidents, weather, natural disasters, acts of government, pandemics, shortages, system outages, payment processor issues, or other force majeure events.

18. Dispute Resolution
Before starting any formal dispute, the customer agrees to contact Medent LLC and attempt to resolve the matter informally. A dispute notice should include the customer name, order number if applicable, a description of the issue, supporting documents, and the requested resolution.

19. Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles, unless otherwise required by applicable law.

20. Updates to These Terms
Medent LLC may update these Terms from time to time by posting an updated version on the website. Continued use of the website or services after updates means you accept the revised Terms.
